These terms are an agreement between HelloSri LLC (doing business as Vectoryze), a Texas limited liability company, and the business that creates a Vectoryze account ("you"). By checking the acceptance box at signup or checkout, you agree to them (clickwrap; we record the timestamp and version you accepted).

1. What Vectoryze is

Vectoryze provides an AI-powered phone receptionist for your business: it answers calls (web calls during trial; phone calls on paid plans), answers questions from the knowledge you provide, books appointments, takes messages, and sends you transcripts and notifications. It is an AI. It identifies itself as an AI to callers when asked, and this disclosure cannot be turned off.

7. Acceptable use

You may not use Vectoryze to: break the law; place or receive calls for emergency services (the receptionist is NOT a way to reach 911); harass, deceive, or robocall; handle protected health information (see §8); or resell the service without a written agreement.

8. No medical/HIPAA use

Vectoryze is not a HIPAA business associate and does not sign BAAs. Don't use it to collect or store protected health information. (Dental and medical practices: talk to us before signing up — most front-desk uses still work, but we'll tell you honestly what doesn't.)

You will defend and indemnify HelloSri LLC against third-party claims arising from: content you provide (including knowledge-base material you lacked rights to use); your use of the service in violation of these terms or the law; and consent or notice obligations you owe your own callers (including recording and text-message consent specific to your industry or state). We will notify you promptly of any such claim and reasonably cooperate.

10. Call recording and consent

Calls are transcribed and may be recorded for your review and for quality. Every greeting includes a brief recording disclosure and it cannot be turned off — one policy for all 50 states, enforced by our quality checks at provisioning. You are responsible for any consent obligations specific to your industry. By using the service, you consent to the recording and transcription of your own side of any call or interaction with the system, and you will ensure that your employees and agents who interact with the system have given the same consent.

11. Liability

To the maximum extent Texas law allows: our total liability for any claim is capped at the amount you paid us in the 3 months before the claim; we are not liable for indirect damages (lost profits, lost bookings, lost callers). Nothing here limits liability that cannot be limited by law.

12. Arbitration and class-action waiver

Any dispute arising out of or relating to these terms or the service that we cannot resolve informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, seated in Fort Bend County, Texas. The Federal Arbitration Act governs the interpretation and enforcement of this section; Texas law (Section 13) governs the substance of any claim. Either side may instead bring an individual claim in small-claims court, and either side may seek injunctive relief in court for misuse of the service or of intellectual property.

YOU AND VECTORYZE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. DISPUTES ARE RESOLVED ON AN INDIVIDUAL BASIS ONLY. If this class-action waiver is found unenforceable as to a particular dispute, that dispute (and only that dispute) proceeds in court under Section 13 instead of arbitration.

13. Governing law

These terms are governed by Texas law, without regard to conflicts rules. Subject to Section 12, any dispute not resolved informally will be brought in the state or federal courts sitting in Fort Bend County, Texas, and both sides consent to their jurisdiction.

14. Changes and contact
