Terms of Service

These terms are an agreement between HelloSri LLC (doing business as Vectoryze), a Texas limited liability company, and the business that creates a Vectoryze account ("you"). By checking the acceptance box at signup or checkout, you agree to them (clickwrap; we record the timestamp and version you accepted).
1. What Vectoryze is
Vectoryze provides an AI-powered phone receptionist for your business: it answers calls (web calls during trial; phone calls on paid plans), answers questions from the knowledge you provide, books appointments, takes messages, and sends you transcripts and notifications. It is an AI. It identifies itself as an AI to callers when asked, and this disclosure cannot be turned off.
2. Your account
- One account per business, owned by the email used at checkout.
- You must provide accurate business information. Accounts impersonating another business will be closed.
- You are responsible for the knowledge base you provide. Don't include content you don't have the right to use, and don't include other people's personal or medical information.
3. The free trial
- 30 days or 60 minutes of web calls, whichever comes first. Trials are web-call-only; a phone number attaches when you activate a paid plan.
- A card is required to start the trial. Your plan starts automatically on day 30 unless you cancel first. We say this here, at checkout, and in a reminder email before your card is charged.
- One trial per business. Anti-abuse checks (duplicate cards, disposable emails) may decline a trial.
- When trial minutes run out, the receptionist pauses until you activate. Activating early ("Activate now") ends the trial and starts your plan.
4. Plans, billing, and minutes
- Plans are monthly subscriptions billed in advance by Stripe, our payments processor. Current pricing is at vectoryze.ai/pricing.
- Each plan includes a monthly allowance of talk minutes. We never shut off a paying customer's receptionist for exceeding included minutes; additional minutes bill at the published overage rate (currently $0.35 per minute) on your next invoice.
- Taxes are added where required.
- If a payment fails, we retry per Stripe's schedule and email you. Your receptionist keeps answering during the retry window. If payment ultimately fails, service pauses until billing is fixed — reactivating restores it.
5. Cancellation and refunds
- Cancel anytime from the billing portal in your dashboard, no calls and no questions. Cancellation takes effect at the end of the paid period; your receptionist works until then.
- We don't offer refunds for partial months. The free trial is the guarantee — you'll have used the product on your own phone before the first charge.
- On cancellation, your phone number detaches, and your data is deleted on the schedule in the Privacy Policy.
6. FOUNDING50 (founding-customer offer)
- The FOUNDING50 promotion code gives $100/month off for the first 5 months on Starter and higher plans, limited to the first 50 redemptions.
- 12-month price lock: the base monthly price of the plan you start with will not increase for 12 months from your first paid month.
- One redemption per business; no cash value; can end for new customers at any time (existing redemptions are honored).
7. Acceptable use
You may not use Vectoryze to: break the law; place or receive calls for emergency services (the receptionist is NOT a way to reach 911); harass, deceive, or robocall; handle protected health information (see §8); or resell the service without a written agreement.
8. No medical/HIPAA use
Vectoryze is not a HIPAA business associate and does not sign BAAs. Don't use it to collect or store protected health information. (Dental and medical practices: talk to us before signing up — most front-desk uses still work, but we'll tell you honestly what doesn't.)
9. Service expectations and warranty disclaimer
- The AI answers as configured, but AI makes mistakes: it can mishear, misstate, or fail to book. Review your transcripts, especially early. You are responsible for verifying bookings and messages that matter.
- We meter usage, monitor quality, and page a human on anomalies, but our dependencies (telephony, AI providers) can fail in ways we don't control; when they do, we work to restore service promptly.
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9a. Your content, our platform (ownership)
- Yours: your knowledge base, your configuration, and your callers' data (recordings, transcripts, messages, bookings). You grant us a limited license to process them solely to provide the service.
- Ours: the platform, software, AI configurations, and everything else that isn't yours. No rights transfer beyond your subscription.
9b. Indemnification
You will defend and indemnify HelloSri LLC against third-party claims arising from: content you provide (including knowledge-base material you lacked rights to use); your use of the service in violation of these terms or the law; and consent or notice obligations you owe your own callers (including recording and text-message consent specific to your industry or state). We will notify you promptly of any such claim and reasonably cooperate.
10. Call recording and consent
Calls are transcribed and may be recorded for your review and for quality. Every greeting includes a brief recording disclosure and it cannot be turned off — one policy for all 50 states, enforced by our quality checks at provisioning. You are responsible for any consent obligations specific to your industry. By using the service, you consent to the recording and transcription of your own side of any call or interaction with the system, and you will ensure that your employees and agents who interact with the system have given the same consent.
11. Liability
To the maximum extent Texas law allows: our total liability for any claim is capped at the amount you paid us in the 3 months before the claim; we are not liable for indirect damages (lost profits, lost bookings, lost callers). Nothing here limits liability that cannot be limited by law.
12. Arbitration and class-action waiver
Any dispute arising out of or relating to these terms or the service that we cannot resolve informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, seated in Fort Bend County, Texas. The Federal Arbitration Act governs the interpretation and enforcement of this section; Texas law (Section 13) governs the substance of any claim. Either side may instead bring an individual claim in small-claims court, and either side may seek injunctive relief in court for misuse of the service or of intellectual property.
YOU AND VECTORYZE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. DISPUTES ARE RESOLVED ON AN INDIVIDUAL BASIS ONLY. If this class-action waiver is found unenforceable as to a particular dispute, that dispute (and only that dispute) proceeds in court under Section 13 instead of arbitration.
13. Governing law
These terms are governed by Texas law, without regard to conflicts rules. Subject to Section 12, any dispute not resolved informally will be brought in the state or federal courts sitting in Fort Bend County, Texas, and both sides consent to their jurisdiction.
14. Changes and contact
